    The newsletter says "co-founders", not referring only to executive roles.

    Your observations are reasonable regarding structure and executive roles.

    What happened between then and now to the status of Ilia and you is of little interest to most of us. We are interested in the fate of vBSEO as a product, not all the drama of who said or did what to whom.

    I saw your comment. I suggest you engage in the parts of the discussions that are of interest to you then.

    If you're not interested in the organizational structure or ownership, don't comment. If you are interested, then don't pretend you aren't.

    You can't dismiss the "drama" and also be a leading player in it. Choose.

    It's a corporation. If you don't hold stock shares signed by the majority shareholder you have no ownership stake.

    Period. End of story.

    I chose at the outset. I am a vBSEO customer. I am concerned about the future of the product. The rest of it is of interest to you and Ilia only. If you have a legal case, pursue it. If you don't, don't. It makes no difference to me, or I suspect to the majority of vBSEO customers.

    The more you and Ilia try to make it about you, the more credibility you lose as "champions of vBSEO customers".

    It's amazing how quickly you can provide a legal analysis without knowing anything about the formation of the company.

    Your comments are what I might expect from a lawyer representing the other party, as a negotiation strategy, but certainly not something that looks like objective legal analysis by any means.

    Do you always conduct yourself on loose assumption?

    Every vBSEO customer is an experienced forum admin.

    They can recognize trolling when they see it.

    The more information that is provided in support of what is claimed, the more you claim a lack of credibility. That's surefire troll logic at work. :)

    NO ONE CARES ABOUT WHAT WENT ON BETWEEN YOU AND JUAN.

    ALL WE CARE ABOUT IS vBSEO THE PRODUCT AND ITS FATE.

    The fate of vBSEO before this began consisted of you ignorantly berating customers who wisely noticed and complained that something was wrong with the company.

    I conduct myself on the basis of corporate law, my area of practice.
    Those with legal ownership stakes in corporations also have legal obligations.
    Someone who self-admittedly has been out of the loop for four years has met none of those obligations.
    I don't suppose you'd be willing to post quarterly filings or tax returns proving me wrong.

    Is the basis of corporate law making definitive statements based on general principles without investigating the history of a company?

    Let's find out the last time they were filed since 2009 first.

    If they weren't filed for any two consecutive quarters at any time the corporation would be suspended.
    We can keep going back and forth but the fact remains you are just as powerless as any customer of vBSEO to stop Juan from closing down the business.

    As much as you'd like to try to label the discussion as gossip or drama, you've been a key participant in pushing it in other directions.

    When the discussion has become tangential, they are typically due to questions or comments made by you and several other participants.

    Don't pass blame for a discussion that you're helping to invoke and push out of focus.

    You can increase font size, make it bold, and do whatever else visually you would like to try to add emphasis to a weak view point. Eventually, you may get angry enough to devolve into the name calling and pure antagonizing you've been up to at vbseo.com.

    Closing down which business?

    You said after two consecutive quarters, the corporation is suspended. How is distribution of assets done between shareholders at the time of suspension?

    Does the active management or shareholder in control of the operation that fails to do so, have any fiduciary responsibility to other shareholders?

    The Department Of Revenue, Secretary Of State, Division Of Corporations suspends non-filers.
    It has nothing whatsoever to do with distribution of assets.

    When this thread was first posted I was thinking I might be of some assistance on a pro bono basis. We're in the same location. This is the type of law I practice. So I did a considerable amount of background research. There is nothing upon which to base a legal claim. There is no case. If there were one you wouldn't be spinning your wheels on message board forums.

    So you suggest there is a suspension of corporate status for non-filers. You say it has nothing to do with distribution of assets.

    However, there are assets.

    So in situations of corporate law where a legal entity is suspended for non-filing, how do the co-founders handle distribution of assets?

    Surely that is not an unfounded legal question.

    Whether or not DOR, SOS, DOC does not deal with that specifically does not mean that it isn't done.

    If it was suspended, business operations have continued on with those assets.

    Would you suggest the best way to eliminate other shareholders with no legal responsibility is to simply not file taxes until the corporation is suspended, and then you can walk away with all assets and continue the business under any DBA you choose?

    If a corporation is suspended for failure to file assets are frozen and a trustee is appointed by the Federal District Court.
    Clearly and convincingly that has not occurred in the case of Crawlability, Inc.
    In fact, it is a corporation in good standing, meaning it has complied with all necessary filings and regulations.

    Therefore, your request to provide them was unnecessary.

    Whether or not we can provide copies of those filings has no indication of shareholder positions.
